1. Introduction & acceptance

These Terms & Conditions ("Terms") govern access to and use of Namarc Events, an SMS, WhatsApp, OTP, and event‑messaging platform operated by Namarc Technology ("Namarc Events", "we", "us", "our"). By creating an account, connecting a gateway, or otherwise using the Service, you ("Client", "you") agree to be bound by these Terms. If you are using the Service on behalf of a business or organization, you confirm you have authority to bind that entity, and "you" refers to that entity.

If you do not agree to these Terms, do not register for or use the Service. Separate documents govern how we handle personal data (our Privacy Notice) and how the marketing website itself may be used (our Terms of Use); both are incorporated into these Terms by reference.

2. Definitions

  • Account — the profile you create to access the Namarc Events dashboard, including any sub‑users or roles created under it.
  • Gateway — a connection to an SMS or WhatsApp messaging provider (for example NextSMS, Infobip, or the Meta WhatsApp Cloud API) configured within the Service to deliver messages.
  • Sender ID — the name or number that appears as the sender of an SMS or WhatsApp message sent through the Service.
  • Service — the Namarc Events dashboard and all features it exposes, including SMS sending, WhatsApp messaging, OTP verification, event invitations, RSVP collection, and QR check‑in.
  • Recipient — an end user who receives a message sent by you through the Service.

3. Eligibility & account registration

You must be at least 18 years old and capable of entering into a binding contract to register for an Account. You agree to provide accurate, current information during registration and to keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account, including activity by sub‑users you create.

You must notify us promptly at info@namarc.co.tz if you suspect unauthorized use of your Account.

4. Services we provide

Namarc Events lets you send SMS and WhatsApp messages through connected gateways, verify users with one‑time passcodes (OTP), and manage events — including sending invitations, collecting RSVPs, and checking guests in via QR code. Available features may vary based on your plan, the gateways you have configured, and the sender IDs approved for your Account.

We may add, change, or remove features from time to time. We will make reasonable efforts to notify you of changes that materially reduce functionality you actively use.

5. Acceptable use policy

You agree not to use the Service to send, and to obtain and retain proof of consent from Recipients before sending, any message that:

  • is unsolicited marketing or bulk messaging sent without the Recipient's prior consent, where such consent is legally required;
  • is fraudulent, deceptive, defamatory, threatening, harassing, or otherwise unlawful;
  • infringes the intellectual property, privacy, or other rights of any person;
  • violates the acceptable‑use policies of the underlying SMS, WhatsApp, or telecom network used to deliver it, including Meta's WhatsApp Business Messaging Policy where WhatsApp gateways are used; or
  • attempts to circumvent rate limits, sender ID restrictions, or other technical controls of the Service.

We may suspend delivery of, or your access to, any message or Account that we reasonably believe violates this policy, without prior notice where necessary to prevent harm or protect the Service's delivery reputation with upstream carriers and messaging providers.

6. Sender IDs & message content

You are solely responsible for the content of messages sent through your Account, for the accuracy of Recipient numbers, and for ensuring you hold the rights to use any Sender ID you register. We may review, approve, reject, or revoke Sender IDs at our discretion, including where required by a telecom regulator or messaging provider.

7. Fees, billing & payment

Use of paid features is billed according to the pricing and payment terms presented to you at the time of purchase, which may include prepaid message credits, invoiced billing cycles, or a combination of both. Charges, deductions, and collections applied to your Account are recorded and viewable in your dashboard. Fees are non‑refundable except where required by law or expressly stated otherwise.

We may suspend Service delivery on an Account with an outstanding balance or insufficient credit until payment is received.

8. Third-party gateway providers

Messages sent through the Service are ultimately delivered by third‑party providers — including NextSMS, Infobip, and, for WhatsApp messaging, Meta's WhatsApp Business Platform — and by the mobile network operators in between. We do not control, and cannot guarantee, delivery times, delivery rates, or the availability of these third parties. Where a WhatsApp gateway is configured with your own Meta access credentials, you are separately bound by Meta's WhatsApp Business Terms and Commerce Policy for that channel.

9. Service availability & support

We aim to keep the Service available at all times but do not guarantee uninterrupted access. We may perform scheduled or emergency maintenance that temporarily affects availability. Support requests can be directed to the contact details below.

10. Intellectual property

The Service, including its software, design, and branding, is owned by Namarc Technology and protected by intellectual property laws. These Terms grant you a limited, non‑exclusive, non‑transferable right to use the Service for your own business purposes; they do not transfer any ownership rights to you. Content you send through the Service (message text, event details, contact lists) remains yours.

11. Confidentiality

Each party agrees to protect the other's confidential information disclosed in connection with the Service and to use it only for purposes of the relationship between us, using at least the same degree of care it uses to protect its own confidential information.

12. Limitation of liability

To the maximum extent permitted by law, Namarc Technology will not be liable for indirect, incidental, special, or consequential damages, or for lost profits or lost data, arising from your use of the Service — including delivery failures or delays caused by third‑party gateway or network providers. Our total liability for any claim arising from these Terms is limited to the fees you paid for the Service in the three months preceding the claim.

13. Indemnification

You agree to indemnify and hold Namarc Technology harmless from any claim, loss, or expense (including reasonable legal fees) arising from your use of the Service in violation of these Terms, applicable law, or the rights of a third party, including claims arising from message content you send.

14. Suspension & termination

You may stop using the Service and close your Account at any time. We may suspend or terminate your Account, with or without notice, if you breach these Terms, if required by law or by a messaging/telecom provider, or where we reasonably believe suspension is necessary to protect the Service or other users. Sections of these Terms that by their nature should survive termination (including billing for services already delivered, confidentiality, and limitation of liability) will survive.

15. Governing law & disputes

These Terms are governed by the laws of the United Republic of Tanzania. Any dispute arising from these Terms or the Service will first be addressed through good‑faith negotiation between the parties, and, failing resolution, will be subject to the exclusive jurisdiction of the courts of Tanzania.

16. Changes to these terms

We may update these Terms from time to time. Where changes are material, we will provide reasonable notice (for example by email or an in‑dashboard notice) before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
